Meeting Minutes for April 25, 2018
President: Meeting was called to order at 4:39. We did not have a quorum to vote on major items, as we only had 4 of 9 voting present according to our current bylaws.
Danno motioned to approve March minutes, Diane seconded, minutes were approved
Danno motioned to approve April 11 minutes, Anita seconded, minutes were approved with a change to spelling of one of Bariloche chaperones and it was corrected.
We discussed the results of the survey of days of the week with Tuesday and Thursday preferred. However because Thursday is better for Ward Hauenstein and Markey Butler we are proposing a change to Thursday. We will vote on this at the May 9th meeting. There will be a motion to change the meeting to the third Thursday of the month starting June 21 if the motion ppasses. Vote by proxy if you are unable to attend. There will be no meeting in July.
Anita Moose: July 28th and September 1 we are confirmed for Farmer’s Market
Betsy Ann: Ducky Derby will be sold on July 28th and Georgina and Betsy Ann will take that day for Ducky Derby and membership drive.
Anita Moose: On September 1, Lala can help in the afternoon, Elise can help Anita may be able to help, and Jenny is at each Farmer’s Market. (Anita will put up a forum for who can help on Sept 1st so please reply to the forum if you can help with the Sept 1 Farmer’s Market day getting out information about Sister Cities and promoting membership). http://www.aspen-sistercities.org/forums/forum/aspen-sister-cities/
Lala: We will have two musicians from Bariloche coming for our cultural exchange on September 15.
Database of Membership
Danno: Can Betsy Ann, Jill and Anita get together in the summer to pull together an accurate database? They will try to get together by August.
Sister Cities Name Change
Forum thread for the name change was viewed.
Danno: Who will make the banking, logo, etc changes?
Discussion: Can we just change the name and not do all the banking and legal pieces? We will have Griff report what needs to be changed when he returns. Perhaps it has been voted on but Anita cannot find it in any minutes.
Markey Butler: We (Snowmass Village) would like to be represented in Sister Cities.
Danno: Appointed Griff, Nancy and Betsy Ann (in Aug and Sept) to look in and make the changes that need to be made legally with a name change.
Danno Lahr: Read a brief review of bylaws: Majority of directors, executive committee and city coordinators are what constitutes the board.
We will take a vote on May 9th either by proxy or in person for the name change to Aspen-Snowmass Sister Cities.
Markey Butler: Many bylaws say a majority of Board members have to say yes to smaller changes, supermajority for needed for larger changes.
We are in need of work on our bylaws. Anita will send out the old bylaws and also the proposed changes for all to see and review and we can begin to work on them little by little if necessary.
Logo should be changed to Aspen-Snowmass Sister Cities and we could use logo tournament to produce a new logo. See the website here https://logotournament.com/ It will have to be discussed further.
Betsy Ann: She presented charts of scholarship in hard copy. She needs to know what to tell parents. The chart was based on what Don used in the past. She also changed the scholarship request form to include number of people living in household. She will move forward by giving scholarships based on the charts but we did not have a quorum to vote.
Betsy Ann: She received a request from Alpine Bank to put Mike Marolt able to use online banking. He won’t be able to tell what amounts are for which city. Many accounts are combined so it will be difficult to sort out. He will check with Betsy Ann, Griff, and Jill if he has questions.
Danno: Mike Marolt quoted 20 hours at $100 and 8 hours at $50 to clean up the books.
Discussion: Mike Marolt will be auditing our QuickBooks and bank statements so we can begin to apply for scholarships.
Discussion: Many questions about why we changed from to Alpine Bank for First Western Trust without a vote or discussion. A suggestion was made that Elise should recuse herself from discussions.
Could we get a committee together to work on these? Bill Sterling, Ward Hauenstein, Diane Godfrey, Markey Butler, Anita Moose
Nancy Gensch suggested taking a group of adults to see the Oberammergau passion play in 2020.
Guests: Dustin speaks German very well and might like to be involved in Sister Cities. Josh will be leaving soon for New Zealand. He will help facilitate when Aspen students come to visit.
Jill Sheeley: Rolando will not be able to come to Sister Cities International and she has a family who can host the Italian student for ½ the year and she’s talking to two other people tonight.
Sister Cities Plaza discussion but won’t happen for two years.
